Registering a company in Cyprus means incorporating a private company limited by shares with the Registrar of Companies and then registering it with the Tax Department. The Ltd needs €0 of share capital, at least 1 director and a company secretary, and a registered office in Cyprus.

What company formation in Cyprus costs in total

€1,375 is the lowest total for a standard Ltd: our fee from €1,200, the Registrar’s incorporation fee of €165 and €10 for approving one company name.

The accelerated procedure adds €100 to the incorporation fee. A registered office address and a bank account are not in our formation package; both are priced separately, and you may already have an office in Cyprus.

Note

A company without share capital pays a higher incorporation fee. Company with share capital; EUR 235 for a company without share capital; +EUR 100 accelerated; +EUR 20 (form HE5) for a public company. Name approval EUR 10 per name.

Registering a company in Cyprus, day by day

10 days

The Registrar needs about 10 days, name approval included; our own work runs 7–15 working days and covers that window.

An approved name is held for 6 months, so documents can be signed at your pace. After the certificate of incorporation, the company has 60 days to obtain its tax identification number, and we file for it straight away. Its first financial statements go to the general meeting within 18 months of incorporation.

Open a company in Cyprus without travelling

Yes: the incorporation is filed through the Registrar’s e-filing system, and founders do not need to be present.

Company law requires at least 1 director and sets no residency condition. Where the board meets still matters for tax, which is the next section.

Corporate tax once the company exists

15%

A Cyprus company pays 15% corporate income tax on taxable profit from 1 January 2026, up from 12.5%, under the Income Tax (Amending) Law N. 244(I)/2025.

The same reform made every company incorporated in Cyprus tax resident there by incorporation, unless a tax treaty provides otherwise. Registration for VAT becomes mandatory once taxable supplies pass €15,600.

Cyprus holding company, not an offshore one

No

Since 1 January 2026 a company incorporated in Cyprus is Cyprus tax resident by incorporation, so a zero-tax “offshore company” in Cyprus does not exist: profit is taxed at 15%.

For a holding company the relevant rule is different. Dividends received by a Cyprus company are generally exempt from corporate tax. Whether that exemption covers your group depends on the facts of each dividend, and we do not assess it on this page.

Yearly duties after company incorporation in Cyprus

The annual government fee is €0: the €350 levy ended with the Companies (Amendment) Law N.25(I)/2024, gazetted on 15 March 2024.

Filing fees for the annual return remain, and the return is filed with the financial statements within 28 days of its drafting date. Statements are audited every year unless a small private company qualifies for a review instead. Changes of registered office go to the Registrar within 14 days, and beneficial owners are kept up to date in the Registrar’s UBO register.

Who this is not for

A Cyprus Ltd is the wrong vehicle in these cases.

  • You want a company that pays no tax. Incorporation in Cyprus makes it Cyprus resident, taxed at 15%.
  • You need a working bank account in the first week. Opening one for a company with non-resident owners is rated “difficult” and is a separate package.
  • You will not keep accounts. Every Cyprus company files financial statements each year, audited unless it qualifies for a review.
  • You plan to offer shares to the public. That needs a public company with €25,629 of capital, which is outside this package.
