Address is not substance

A registered office proves where the company can be served with documents and where its registers are kept. It does not prove where the board meets or where decisions are taken, and that is what tax authorities and banks look at.

Registered office in Cyprus

A registered office is the address of a Cyprus company on the public register, and the statutory registers are kept there. Our virtual office gives you that address from €400, with mail scanning, and nothing physical beyond it.

Is a registered office mandatory?

Yes

Yes: the Registrar of Companies requires every company to maintain a registered office in Cyprus, checked on 25 September 2026. The rule as our reference summarises the Registrar’s page: “Must maintain a registered office in Cyprus which must not be a mailbox; statutory registers are kept there. Changes notified on form HE2 within 14 days.”

Under the Registrar of Companies rule a post office box fails that test. An office address where the company can receive documents and keep its registers passes it, whether or not anyone from the company works there.

Does the address make the company tax resident?

Individuals: more than 183 days in Cyprus in the calendar year, or the 60-day rule. Companies: managed and controlled in Cyprus, or (from 1 Jan 2026) incorporated or re-domiciled in Cyprus unless a tax treaty provides otherwise.

No. From 1 January 2026, a company incorporated in Cyprus is tax resident there by incorporation unless a tax treaty says otherwise, and the address adds nothing to that test.

The treaty case is where founders get caught. If the directors sit in another country and take decisions there, that country can claim the company under its own rules and under the treaty, and a Cyprus address with scanned mail is no evidence against it. Board meetings held in Cyprus, minutes signed in Cyprus and directors who actually live there are.

What changes if you move to Cyprus yourself

If you relocate and run the company from Cyprus, the management test and the incorporation test point the same way. The company then pays 15% corporate income tax, the standard rate from 1 January 2026. The virtual office does not change that figure in either direction.

Why banks look past the address

Difficult

Opening an account for a non-resident company is rated “difficult” in our reference. Non-resident owners are treated as higher-risk and go through enhanced due diligence on source of funds and business model. Central Bank of Cyprus guidance on shell companies, those with no physical presence or economic substance, asks banks for case-by-case, documented decisions; both points come from secondary sources.

A company whose only link to Cyprus is a registered office fits the description of a shell company in that guidance. Expect questions about where the business is run, who the clients are and where the money comes from; the address answers none of them.

Registers kept at the registered office

Yes

The statutory registers are kept at the registered office. Beneficial ownership goes elsewhere: the company files it, and every change to it, in the Register of Beneficial Owners kept by the Registrar of Companies.

Our address package does not keep those registers for you. That is the secretary’s job, and our company secretary package starts at €600.

Directors: where they live matters more than the address

A private company needs at least 1 director, and company law sets no residency condition for the role. A company with a Cyprus address and a sole director living abroad is legal; it is also the weakest set-up for the treaty test above.

Who this is not for

The address meets one rule of the Registrar of Companies. It is the wrong purchase in these cases.

  • You need proof of substance for a tax authority or a bank. Our package excludes a physical desk or meeting room, and nobody of yours works at the address.
  • You plan to hire staff in Cyprus. People need a workplace, and a registered office is not one.
  • You need original paper documents in hand quickly. We scan mail; forwarding originals is not part of the package.
  • You want the address to lower your tax bill. From 1 January 2026 the company pays 15% because of where it is incorporated and managed, not where its post arrives.
